Sampledex, Inc. (“Sampledex,” “we,” “us,” “our”) operates an online platform that enables independent producers and musicians to discover, license, and promote audio content and related creative works (the “Services”). This single, integrated policy explains (1) how we collect, use, disclose, and protect personal information, and (2) how we use cookies and similar technologies. By using the Services, you agree to this Privacy & Cookie Policy. If you do not agree, please discontinue use of the Services.
Nothing in this Policy limits non-waivable rights you may have under applicable law. If there is a conflict between this Policy and applicable law, the stricter rule controls.
1) Scope
This Policy applies to visitors, registered users, creators, purchasers, and business partners who access our websites, mobile apps, APIs, widgets, embeds, emails, and related offerings. It does not apply to third-party websites, services, or integrations we do not control.
2) Our Commitment to Compliance (Including GDPR)
We aim for good-faith compliance with all applicable privacy laws. Where the GDPR (and UK/Swiss equivalents) applies, we will follow it where applicable and to the best extent possible, including honoring required rights and implementing appropriate transfer safeguards. If legally required, we will designate an EU/UK representative and publish those details.
We strive for accuracy and lawful processing. If we discover a material privacy error, we will promptly investigate, correct, and notify users or regulators when required by law.
3) Information We Collect
We collect information directly from you, automatically from your device, and from service providers or partners.
Illustrative categories (non-exhaustive):
Account & Contact: name, email, username, password, profile image, social handles.
Creator/Commerce: storefront details, payout preferences, tax and transaction identifiers, license history, pack metadata.
Content: uploaded audio/stems, artwork, descriptions, comments, messages, project titles, attributions.
Usage & Device: pages viewed, links clicked, IP address, device type, operating system, app version, crash logs, diagnostics, approximate location derived from IP.
Cookies/Similar Tech: identifiers for authentication, security, preferences, analytics, and (where allowed) marketing.
Support & Safety: reports, tickets, fraud/abuse signals, and moderation outcomes.
You may choose not to provide information, but certain features may be unavailable.
4) How We Use Information
We use personal information (to the extent permitted by law) for:
Operate & Deliver: provide, maintain, host, store, stream, and index the Services.
Transactions: process purchases, licenses, refunds, payouts, and receipts.
Safety & Integrity: prevent, detect, and investigate spam, fraud, abuse, security incidents, and infringement.
Support & Notices: respond to inquiries; send transactional notices and updates.
Personalization & Features: remember preferences; tailor content and recommendations.
Analytics & Performance: measure usage; debug; test and improve features.
Marketing (where lawful): send promotions and offers; you can opt out at any time.
Legal & Compliance: comply with laws, enforce terms and policies, and protect our rights, users, and the public.
Legal bases (where required): contract performance, legitimate interests, consent (where required), and legal obligations.
5) Sample Packs, Licensing & Our Role
Each sample pack may include a Pack License that governs permitted uses and restrictions. Accessing or obtaining a pack constitutes acceptance of its Pack License. Except where explicitly stated, Sampledex is a platform provider and not a party to licenses between creators and users.
6) Sharing & Disclosures
We may disclose information as permitted by law and this Policy:
Service Providers (Processors): hosting, storage, support, payments, fraud detection, analytics, communications.
Business Partners (Independent Controllers): creators/labels/distributors where necessary to fulfill a transaction or facilitate discovery, subject to their policies.
Compliance & Safety: courts, law enforcement, regulators, or others when required or appropriate to comply with law, enforce policies, protect rights and users, or respond to lawful requests.
Corporate Transactions: merger, acquisition, financing, asset sale, insolvency; successors will honor this Policy or provide materially comparable protections.
Aggregated/De-identified: we may use and share data that cannot reasonably identify you.
We do not “sell” personal information in the ordinary sense. Where a law defines “sale” or “sharing” to include certain analytics/advertising, you may have opt-out rights as described below.
7) International Transfers
We are a U.S. company. Your information may be transferred to and processed in the United States and other countries with different privacy laws. Where transfer rules apply, we use appropriate safeguards (for example, standard contractual clauses, participation in a recognized transfer framework when applicable, or other lawful mechanisms).
8) Security
We implement reasonable administrative, technical, and physical safeguards designed to protect personal information. No system is 100% secure. You are responsible for maintaining the confidentiality of credentials and for activity under your account. If you believe your account or data has been compromised, contact us immediately.
9) Retention
We retain personal information only as long as necessary for the purposes described, to comply with legal/accounting obligations, to resolve disputes, and to protect our rights and users. When no longer needed, we aim to delete or de-identify information.
10) Children
The Services are not intended for children under 13 (or higher local threshold). If we learn that we collected information from a child under the applicable age, we will delete it.
11) Your Rights & Choices
Your rights depend on your location and applicable law. Subject to verification and legal limits, you may have rights to access, correct, delete, obtain a copy, or object to/limit certain processing. You may withdraw consent where we rely on consent. Some U.S. states grant rights to opt out of “selling,” “sharing,” or targeted advertising and to appeal our decision on a privacy request. We honor recognized universal opt-out signals where the law requires.
We may deny requests where not legally required to honor them, where an exemption applies, or where we cannot verify your identity. We will not discriminate against you for exercising legally protected rights.
How to exercise rights: email privacy@sampledex.com (and include sufficient details for verification). If an authorized agent submits a request, we may require proof of authorization and identity.
12) Good-Faith Compliance, Errors & Redress
We pursue good-faith compliance consistent with our size and resources. If we make a mistake, we reserve the right to correct it promptly after discovery. Where law requires, we will notify you or authorities of certain incidents. Nothing here creates obligations beyond those required by law.
13) Company-Protective Disclaimers (Privacy-Specific)
To the maximum extent permitted by law:
No Warranties: The Services and all content are provided “as is” and “as available.” We disclaim all warranties regarding privacy/security/accuracy/availability and fitness for a particular purpose, except where such disclaimers are prohibited by law.
Third-Party Acts: We are not responsible for third parties’ acts, omissions, or policies (including service providers, networks, integrations, or platforms we do not control).
User Conduct: You are solely responsible for the information you upload, publish, or transmit; do not upload sensitive data you do not wish to disclose.
Force Majeure: We are not liable for delays/failures caused by events beyond our reasonable control (outages, attacks, disasters, regulatory changes).
Experimental/Beta Features: Provided without promises, may be modified/withdrawn, and used at your own risk.
These disclaimers do not limit responsibilities that cannot be limited by law.
14) Indemnification & Hold Harmless (Privacy-Related)
You agree to indemnify, defend, and hold harmless Sampledex and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your misuse of personal information obtained via the Services; (b) your violation of this Policy or any law; (c) your infringement/misappropriation/violation of others’ rights; (d) inaccurate, unlawful, or harmful information you provide; or (e) disputes between you and third parties. We may assume exclusive defense and control of any matter otherwise subject to indemnification; you will cooperate fully with us.
15) Limitation of Liability (Privacy-Related)
To the maximum extent permitted by law:
We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or use, even if advised of the possibility.
Our total liability for claims relating to this Policy or our handling of personal information shall not exceed the greater of: (i) the amounts you paid to us, if any, in the six (6) months preceding the claim, or (ii) USD $100.
Some jurisdictions do not allow certain limitations; where prohibited, the above applies to the maximum extent allowed.
16) Cookies & Similar Technologies (Integrated Cookie Policy)
16.1 What They Are
We use cookies, local storage, pixels, tags, SDKs, device IDs, and similar technologies (“cookies”) to operate and improve the Services.
16.2 Why We Use Them (Categories & Purposes)
Strictly Necessary: security, load balancing, session management, core account features.
Functional/Preferences: remember language, layout, and UI settings.
Performance/Analytics: measure usage, diagnose issues, improve reliability, A/B test.
Advertising/Marketing: where permitted, measure marketing effectiveness and deliver or limit ads.
Security & Fraud Prevention: detect abuse, unusual activity, and policy violations.
Social/Embedded Content: enable sharing tools and third-party embeds.
16.3 Legal Basis & Consent
Where consent is required for non-essential cookies, we will seek consent via our banner or similar interface. You may withdraw or adjust consent at any time via on-site controls. Strictly necessary cookies rely on legitimate interests or equivalent legal bases where applicable.
16.4 Your Controls

16.6 Third-Party Cookies
Some cookies are set by third parties (analytics, ad tech, payments, social media, embedded players). Those parties may collect data over time and across sites per their own policies. We do not control their practices. Manage preferences via our banner, your browser/device, and third-party settings.
16.7 Data Transfers, Security, Retention
Cookie-derived data may be transferred internationally with appropriate safeguards, protected by reasonable security measures, and retained only as long as necessary for the purposes described above.

To the maximum extent permitted by law, the Services and cookie-related features are provided “as is.” We disclaim all warranties regarding cookies and are not responsible for third-party scripts, SDKs, or your browser/device settings. You agree to indemnify, defend, and hold us harmless from claims arising out of your cookie configurations, third-party tools, or violations of this section.
17) Do Not Track & Universal Signals
Browsers or extensions may send “Do Not Track” or universal opt-out signals. We will treat recognized, legally required signals as binding opt-out requests for applicable processing categories, to the extent mandated by law.
18) Region-Specific Disclosures (High-Level)
EEA/UK/Switzerland: You may have rights to access, rectify, erase, restrict, port, and object, and to withdraw consent. You may lodge a complaint with your supervisory authority. We identify legal bases and apply transfer safeguards where required.
United States (Selected States): Depending on your state, you may have rights to know/access, correct, delete, and to opt out of certain processing categories defined by law (including “sale,” “sharing,” or targeted ads). We honor recognized universal opt-out signals where required.
Other Regions: We comply with local requirements to the extent they apply to us; stricter protections control.
19) Disputes; Binding Arbitration; Governing Law; Venue (Solano County & East Bay)
PLEASE READ CAREFULLY. To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to this Policy or the Services will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may seek temporary, preliminary, or permanent injunctive relief in the courts identified under Venue below to protect intellectual property, platform integrity, security, or confidential information.
Administration & Rules: Arbitration will be administered by a recognized arbitration provider under its applicable consumer/commercial rules.
Seat & Hearings: The seat of arbitration will be Solano County, California, or—at Sampledex’s election—Alameda County or Contra Costa County, California (collectively, the “East Bay”). Hearings may occur by video or teleconference unless the arbitrator requires an in-person session.
Class/Representative Action Waiver: You and Sampledex agree to bring claims only in an individual capacity, not as a class member or representative in any class, collective, consolidated, private attorney general, or similar action.
Jury Trial Waiver: You and Sampledex waive any right to a jury trial.
Small Claims: Either party may bring an individual claim in small-claims court in Solano County or in the East Bay (Alameda or Contra Costa County) if the claim qualifies.
Governing Law: California law governs, without regard to conflict-of-law principles.
Venue & Forum Selection: Subject to arbitration, the exclusive venue and jurisdiction for any permitted court action are the state courts in Solano County, California, or the state courts in Alameda County or Contra Costa County, California, and, where federal jurisdiction exists, the U.S. District Courts serving those counties. Each party irrevocably consents to personal jurisdiction in those courts and waives any objection to venue or inconvenient forum.
Limitation on Time to File Claims: To the maximum extent permitted by law, any claim under this Policy or related to the Services must be filed within one (1) year after it accrues or is permanently barred.
Severability: If any part of this Section is unenforceable, the remainder remains in effect and the invalid portion will be modified to the minimum extent necessary to be enforceable.
20) Relationship to Terms of Service
This Policy works together with our Terms of Service. If there is any conflict, the Terms of Service control with respect to disputes, disclaimers, limitations, and venue, except where applicable law requires otherwise.
21) Changes to This Policy
We may update this Policy from time to time. The “Last Updated” date reflects the most recent revision. Material changes will be communicated through the Services or other reasonable means. Your continued use after changes become effective signifies your acceptance of the revised Policy.
