Sampledex Terms of Service

Welcome to Sampledex — an innovative sample music platform dedicated to empowering and promoting independent producers and musicians. These Terms of Service (“Terms”) govern your access to and use of the Sampledex website and services (“Service”). By using Sampledex, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years old to use Sampledex. If you are under 18, you may use the platform only with the consent of a parent or legal guardian.

2. User Accounts

To access certain features, you may need to create an account. You agree to:

  • Provide accurate and complete information;

  • Maintain the confidentiality of your login credentials;

  • Be responsible for all activities under your account.

Sampledex may suspend or terminate accounts that violate these Terms.

3. Use of the Platform

You agree to use Sampledex only for lawful purposes. You may not:

  • Upload or distribute copyrighted material without proper authorization;

  • Use the Service for any illegal or unauthorized purpose;

  • Attempt to interfere with or disrupt the platform’s security or functionality.

4. Content Ownership & Licensing

You retain ownership of all content you upload to Sampledex, including audio samples, beats, tracks, and artwork (“User Content”).
By uploading or publishing content, you grant Sampledex a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, perform, promote, transmit, and distribute your content on and through the Service for operational and promotional purposes.
You represent and warrant you have all rights necessary to upload your content and that it does not infringe third-party rights.

5. Sample Packs & Pack License Agreement

All sample packs made available on Sampledex include a Pack License Agreement (“Pack License”).

  • The Pack License travels with the pack and governs how the audio can be used (e.g., permitted uses, attribution, restrictions, resale/redistribution limits, and any commercial terms).

  • Downloading, purchasing, or accessing a pack constitutes acceptance of the Pack License.

  • If there is any conflict between these Terms and a Pack License with respect to a specific pack, the Pack License controls for that pack.

  • You are solely responsible for reviewing each Pack License before use and complying with its terms. Sampledex is not a party to licenses between creators and users except as the platform provider.

6. Platform Role; User Transactions

Sampledex is a platform that hosts User Content and facilitates discovery. We do not guarantee the legality, quality, originality, or fitness for a particular purpose of any content.
Transactions or collaborations between users occur solely between those users. Sampledex is not responsible for disputes, royalties, or attribution between users.

7. Intellectual Property

All Sampledex branding, design, code, and other platform materials are owned or licensed by Sampledex. You may not copy, modify, reverse engineer, or distribute any part of the platform without written permission.

8. Payments and Monetization (If Applicable)

If Sampledex offers paid features, monetization programs, or commissions, those terms will be disclosed separately. By participating, you agree to any additional terms, including responsibilities for taxes and compliance.

9. Promotion and Discovery

Sampledex may promote user content through playlists, featured sections, social media, editorial curation, emails, or partnerships. Promotion is not guaranteed and may be withdrawn at any time.

10. Content Moderation; Takedowns

We may remove or disable content that we reasonably believe violates these Terms, the Pack License, or applicable law, or upon receipt of a proper notice (including DMCA or similar). We may also suspend repeat infringers. We may preserve information to comply with legal obligations.

11. Assumption of Risk; Release

You understand that User Content may be incorrect, incomplete, or subject to third-party rights. You assume all risk for relying on or using User Content.
To the fullest extent permitted by law, you release Sampledex and its affiliates, officers, employees, and agents from claims and damages arising out of disputes between you and any other user or third party related to User Content or your use of the Service.

12. Indemnification & Hold Harmless

You agree to indemnify, defend, and hold harmless Sampledex and its affiliates, officers, directors, employees, agents, licensors, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your User Content, including alleged or actual copyright, trademark, patent, trade secret, moral rights, publicity, or privacy violations;

  • Your use of any sample pack contrary to the applicable Pack License;

  • Your use of the Service in violation of these Terms or any law;

  • Any dispute between you and another user or third party;

  • Failure to secure necessary clearances, consents, or royalty payments.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us.

13. Disclaimer of Warranties

The Service (and all content, including sample packs) is provided “as is” and “as available.” Sampledex disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant uninterrupted or error-free operation, or that content will meet your requirements.

14. Limitation of Liability

To the fullest extent permitted by law:

  • Sampledex will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, or use, even if advised of the possibility.

  • Sampledex’s total liability for any claim arising out of or relating to the Service will not exceed the greater of: (a) the amounts you paid to Sampledex (if any) in the six (6) months preceding the claim, or (b) USD $100.
    Some jurisdictions do not allow certain limitations; in those cases, the above limitations apply to the maximum extent permitted.

15. Third-Party Services & Links

The Service may integrate or link to third-party services (e.g., payment processors, social platforms). Your use of third-party services is governed by their terms, and Sampledex is not responsible for those services.

16. Privacy

Your use of the platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

17. Changes to the Service or Terms

We may update these Terms and/or modify or discontinue features at any time. We’ll post updates with a new “Last Updated” date. Continued use after changes means you accept the revised Terms.

18. Governing Law; Dispute Resolution

These Terms are governed by the laws of California, U.S.A., without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in or within 100 miles of Solano County, California, or, at Sampledex’s election, binding arbitration administered by a recognized provider. You waive any objection to inconvenient forum.

19. Miscellaneous

If any provision is found unenforceable, it will be modified to reflect the parties’ intent or severed, and the remaining Terms remain in effect. These Terms (plus any Pack License and any feature-specific terms) constitute the entire agreement between you and Sampledex regarding the Service.
